A tenant may have a valuable renewal right and still lose the opportunity to rely on it by missing the required notice. A landlord may believe renewal is discretionary when the signed clause already gives the tenant an enforceable option. Start with the wording, not either party’s expectations.

Hugh Raichlin Attorneys can review the clause before its deadline or assess a dispute after a purported renewal. The immediate task is to identify what had to happen, by whom, and when.

Distinguish an option from a promise to discuss

A genuine option can allow one party to bring a further term into existence by complying with agreed requirements. A clause requiring future agreement on essential matters may operate differently. Calling a paragraph an “option” does not resolve gaps in its terms.

Read the renewal provision with the entire lease. Is the next rental fixed, calculated by a formula, or determinable through a workable mechanism? What happens if the parties disagree? Do not assume that an agreement to negotiate necessarily supplies the same protection as a complete option.

Turn the clause into a dated action list

  • Identify the last permissible notice date and whether the clause requires dispatch or receipt.
  • Confirm who may exercise the option and who has authority to act for a company or trust.
  • Check the nominated recipient, delivery address and permitted method of communication.
  • Record any conditions concerning arrears, existing breaches or other prerequisites.
  • Separate acceptance of the renewal from negotiations about additional concessions.

Have uncertain wording assessed well before the deadline. Diarise an earlier working date that leaves room for signatures and proven delivery; do not plan to resolve every ambiguity on the final afternoon.

Negotiations do not necessarily preserve the option

Rent discussions, draft documents and friendly assurances can continue while a formal notice deadline passes. Preserve those communications, but do not assume they extend the option or waive a requirement.

A notice that adds conditions may be a counterproposal rather than the required exercise of the existing right. Similarly, an email to an estate agent may not satisfy a clause naming a different recipient. These are questions about the actual contract and facts, not reasons to rely on a standard renewal template.

Landlords should make the next term workable

Before signing the original lease, review whether the proposed renewal mechanism can actually function. Specify the duration, rental determination, escalation, notice mechanics and any lawful conditions. Avoid an essential term that depends on future agreement without addressing what happens when agreement fails.

During the tenancy, keep authorised communications consistent. A managing agent should know which matters require the owner’s instructions. When a renewal notice arrives, assess it promptly and preserve the response rather than leaving both parties to act on contradictory assumptions.

A missed deadline needs analysis, not invented compliance

The original provider article examined disputes over timing, uncertain rental provisions and attempted departures from agreed procedure. Those decisions illustrate why drafting and compliance matter; they do not mean every defective notice has the same outcome.

Where a deadline has been missed, provide a truthful chronology and the reasons. Public-policy arguments, waiver, representations or other legal issues require proper assessment on the evidence. Do not backdate a notice or assume that describing the result as unfair automatically creates a fresh term.

Keep occupation and the disputed renewal separate

Continued occupation after the original term may raise another contractual or statutory question. It does not necessarily prove that the full renewal option was exercised. A temporary arrangement should state what it does and does not resolve, subject to advice about its legal effect.

For residential premises, identify any applicable Rental Housing Act and Consumer Protection Act requirements. Do not import a residential statutory rule into a commercial lease without checking its scope. Recovering possession still requires the appropriate lawful process.

Should I sign the new draft while disputing the old option?

Obtain advice first. A new agreement may settle, replace or complicate the disputed position. Identify the rights you intend to preserve and the consequences of the proposed signature.

Can an oral assurance from the agent fix defective notice?

Its significance depends on the agent’s authority, the lease and the proven communications. Keep the evidence, but do not assume every conversation binds the landlord or overrides formal requirements.

Bring the complete renewal record

Send HRA an initial summary identifying the premises, expiry date, renewal deadline and desired outcome. Prepare the complete lease, notices, delivery records and negotiating correspondence for the requested review. Acting before the deadline gives the firm more useful options than reconstructing a disputed process afterwards.
